3. User Obligations

5. Paid Services and Purchases

Certain features of the Website, including online courses, webinars, and workshops, may require payment ("Paid Services"). By purchasing any Paid Services, you agree to the following:

  • Pricing: All prices for Paid Services are displayed in Canadian Dollars (CAD) unless otherwise specified. Prices are subject to applicable taxes, including HST/GST as required by Canadian law. We reserve the right to change pricing at any time, but changes will not affect purchases already completed.
  • Payment Processing: Payments are processed through third-party payment processors. By making a purchase, you agree to the terms and privacy policies of the applicable payment processor. We do not store your full credit card or payment details on our servers.
  • Refund Policy: For online courses, refund requests may be submitted within 14 days of purchase if less than 25% of the course content has been accessed. For live webinars and workshops, cancellation requests must be received at least 48 hours before the scheduled event to qualify for a full refund. Requests made within 48 hours of the event may be eligible for a credit toward a future event, at our discretion.
  • Access Duration: Unless otherwise stated at the time of purchase, access to purchased course content is granted for a period of 12 months from the date of purchase. After this period, continued access may require a renewal fee.

6. Disclaimers

The Website and all Content, services, and features available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, CrowdfundCanada Edu disclaims all warranties, including but not limited to:

In any case, the total aggregate liability of CrowdfundCanada Edu for all claims arising out of or related to these Terms or your use of the Website shall not exceed the greater of: (a) the amount you have paid to CrowdfundCanada Edu for Paid Services in the twelve (12) months preceding the claim, or (b) one hundred Canadian Dollars (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless CrowdfundCanada Edu, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable legal fees and court costs) arising out of or related to:

Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. 11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action, suit, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the courts of the Province of Ontario, located in the City of Toronto, and you consent to the exclusive jurisdiction and venue of such courts.

If you are accessing the Website from outside of Canada, you are responsible for compliance with your local laws. We make no representation that the Website or its Content is appropriate, lawful, or available for use in any jurisdiction outside of Canada.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate ("Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting CrowdfundCanada Edu at [email protected] with a written description of the Dispute. We will attempt to resolve the matter within thirty (30) business days of receiving your written notice.

If the Dispute cannot be resolved informally within this period, either party may initiate binding arbitration administered by the ADR Institute of Canada in Toronto, Ontario, under its applicable arbitration rules. The arbitration shall be conducted by a single arbitrator, in the English language, and the arbitrator's decision shall be final and binding on both parties. The costs of arbitration shall be shared equally between the parties, except that each party shall bear its own legal fees unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Toronto, Ontario, to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

You agree that any Dispute resolution proceeding will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against CrowdfundCanada Edu.

13. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to all or any part of the Website at any time, with or without notice, for any reason, including but not limited to:

  • Breach of any provision of these Terms.
  • Engaging in fraudulent, abusive, or illegal activity.
  • Providing false or misleading information.
  • Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the business interests of CrowdfundCanada Edu.

Upon termination, your right to use the Website will immediately cease. If you have active Paid Services at the time of termination, we will provide a pro-rated refund for any unused portion of pre-paid services, unless the termination is due to your breach of these Terms, in which case no refund will be provided.

The following sections of these Terms shall survive termination: Intellectual Property (Section 4), Disclaimers (Section 6), Limitation of Liability (Section 7), Indemnification (Section 8), Governing Law and Jurisdiction (Section 11), and Dispute Resolution (Section 12).

14. Changes to These Terms

We reserve the right to modify, update, or replace these Terms at any time. When we make material changes to these Terms, we will provide notice through one or more of the following methods:

  • Posting a prominent notice on the Website's homepage for a minimum of fourteen (14) days before the changes take effect.
  • Sending an email notification to users who have registered for our newsletter or created accounts for Paid Services.
  • Updating the "Last Updated" date at the top of this document.

Material changes will become effective no earlier than fourteen (14) days after the notice is posted. Non-material changes, such as corrections to typographical errors or formatting updates, may take effect immediately upon posting. If you do not agree to the revised Terms, your sole remedy is to discontinue your use of the Website. For users with active Paid Services, we will provide a reasonable opportunity to cancel and receive a pro-rated refund if you do not wish to accept revised Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Paid Services, constitute the entire agreement between you and CrowdfundCanada Edu with respect to the subject matter hereof. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

No waiver by CrowdfundCanada Edu of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
